It was indeed NOD32 Virusscan. I was ending the processes manually, but the NOD32KRN.EXE system thread restarts itself after detecting it was shutdown.
What I did was excluding the following folders from scanning:
1. C:\Program Files\SynchroSoft\
2. C:\Program Files\Steinberg\
Then I disabled the AMON section of NOD32 during install of the dongle emu.
It worked. So NOD32 users, beware of this.
But isn't it strange it's detecting somekind of virus? Here is the description:

I had the same problem and it turned out to be the synsonos and synsoacc files located in the Windows\System32 folder. I uninstalled SX 3, Syncrosoft and Syncrosoft Emu, deleted the files
mentioned from the System32 folder, reinstalled SX 3 and all is fine. SX 2 is also running fine.
